1. Pricing & Membership

Annual Registration Fee: $29 per year (one-year validity)

Membership: Flat fee for Paid Members Only – unregistered users cannot access the platform

Includes:

Paid Member listing on the MWPUAE B2B platform
Ability to post company details and requirements
Access to connect with other paid members in Metal, Wood, Plastic, Machinery, and related sectors

Important:

This is registration only; no other services are included
No refunds will be issued under any circumstances
Renewal is required each year to maintain your listing

2. Terms & Conditions

2.1 Registration & Payment

The $29 fee is solely for platform registration and access
Payment confirms your agreement to all terms and policies
Membership will show as "Paid Member" on the platform

2.2 Verification Requirement

Valid Trade License or commercial documentation must be provided
False or misleading registrations will be removed without refund

2.3 Platform Access & Usage

Only paid members can:

List company details
Post business requirements
Connect with other members
MWPUAE does not permanently store product photos or sensitive data

2.4 Membership Duration & Renewal

Membership is valid for one year from the payment date
Renewal is required for continued access

2.5 No Refund Policy

All payments are final and non-refundable
No refunds for early cancellation, incorrect documentation, or non-usage

2.6 Platform Role & Liability

MWPUAE is only a facilitator connecting buyers and sellers
We are not responsible for transactions, payments, quality, or delivery of goods/services
All contracts and dealings are directly between members

2.7 User Responsibility

Users must conduct their own due diligence before any transaction
Users must comply with all applicable laws in their jurisdictions

2.8 Disputes & Indemnity

All disputes are between members; MWPUAE will not mediate
Users indemnify and hold MWPUAE harmless from any claims, damages, or liabilities
Any legal claim against MWPUAE requires the claimant to cover MWPUAE's legal costs

2.9 No Warranty & Limitation of Liability

Platform is provided "as is" with no guarantees or warranties
MWPUAE's maximum liability is limited to the registration fee paid
MWPUAE is not liable for lost profits, data, or business interruptions

2.10 Prohibited Activities

No illegal, fraudulent, or unethical use of the platform
No spam, false information, or misrepresentation
Accounts violating these rules may be suspended or terminated without refund

2.11 Data Use & Privacy

Only basic business details are collected for verification
MWPUAE does not sell, share, or misuse data
All handling follows UAE data protection standards

2.12 Governing Law & Jurisdiction

These terms are governed by United Arab Emirates law
Any legal action must be filed in UAE courts exclusively

3. Additional Protection Clauses

3.1 Third-Party Links & Services

The platform may contain links to third-party websites or services. MWPUAE is not responsible for their content, privacy policies, or practices. Access is at your own risk.

3.2 Mandatory Legal Compliance

Users are solely responsible for ensuring their use of the platform and any business activities comply with all applicable laws, including trade, anti-bribery, and anti-money laundering regulations.

3.3 Data Security & Platform Availability

MWPUAE cannot guarantee uninterrupted, error-free, or secure platform operation. We are not liable for damages or losses from data breaches, service interruptions, or cyberattacks.

3.4 Content & Intellectual Property

Users retain responsibility for content they upload
By uploading content, users grant MWPUAE a non-exclusive, royalty-free license to use it on the platform
MWPUAE may remove content violating these terms without notice or refund

3.5 Indemnification

Users agree to indemnify, defend, and hold harmless MWPUAE and its agents from all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from platform use or violations of terms.

3.6 Termination Rights

MWPUAE reserves the right to suspend or terminate any member's account at its sole discretion without notice or liability. No refund will be issued upon termination.

3.7 Modification of Terms

MWPUAE may modify these terms and policies at any time. Users are responsible for reviewing updates. Continued use means acceptance of changes.

3.8 Arbitration & Legal Claims

Any legal claims against MWPUAE must be filed within 60 days from the incident date
Disputes between members are their responsibility; MWPUAE will not mediate

3.9 Force Majeure

MWPUAE is not liable for failures or delays due to causes beyond reasonable control including natural disasters, war, terrorism, or third-party interruptions.

3.10 Disclaimer of Agency

Nothing here creates agency, partnership, joint venture, or employment relationship between MWPUAE and members.

3.11 No Third-Party Beneficiaries

These terms benefit only MWPUAE and its members; no third-party rights are created.

4. Final Binding Clause

By completing registration and using the MWPUAE B2B Platform, the member acknowledges and agrees that they have read, understood, and accepted all terms, policies, and conditions outlined herein. These terms are legally binding and enforceable under UAE law. MWPUAE reserves the right to enforce all protections, indemnities, and limitations of liability stated herein. Violations may result in immediate suspension or termination without refund. This document constitutes the entire agreement between MWPUAE and the member, superseding any prior agreements or representations.
